Terms of Service Agreement 

This Agreement ("Agreement") is between Iron Out ("Company," "we," "us," or "our") and the individual or entity ("User," "you," or "your") accessing or using our subscription account services ("Services"). 

By accessing or using our Services, you agree to be bound by the terms and conditions of this Agreement. If you do not agree to all the terms and conditions of this Agreement, you may not access or use the Services. 

Account Registration
1.1. Eligibility: By creating an account and subscribing to our Services, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into this Agreement.
1.2. Accuracy of Information: You agree to provide accurate, current, and complete information during the registration process and to promptly update such information as necessary to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
1.3. Authority to Represent Company: If you are registering for an account and subscribing to our Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to this Agreement. In such cases, "you" and "your" in this Agreement shall refer to the entity you represent.

Subscriptions & Services
2.1. Description of Services: Services may include access to resources that help promote competency and compliance in relation to architectural ironmongery, doors and the built environment (such as a CPD calendar, directory, resources, publications, documents, and consultancy).
2.2. Subscription Plans: Iron Out offers various subscription plans with different features, benefits, and pricing. By subscribing to a plan, you agree to pay the applicable fees and abide by the terms and conditions associated with that plan.
2.3. CPD Calendar Disclaimer: The free CPD calendar provided as part of our Services is intended for informational purposes only. We do not endorse or guarantee the accuracy or quality of any events listed on the calendar. The inclusion of any event on the calendar does not constitute endorsement or recommendation. 

Payment Terms
3.1. Fees: You agree to pay all fees and charges associated with your subscription account in accordance with the pricing and payment terms disclosed to you at the time of subscription.
3.2. Payment Method: You authorise us to charge your chosen payment method for all applicable fees and charges. You are responsible for maintaining up-to-date payment information and ensuring that your payment method remains valid.
3.3. Fee Changes: We reserve the right to change the fees associated with our subscription plans at any time. Any changes to fees will be communicated to you in advance, and you will have the option to accept the new fees or cancel your subscription. Continued use of the Services after the effective date of fee changes constitutes your acceptance of the new fees.

User Conduct
4.1. Compliance: You agree to use the Services in compliance with this Agreement, applicable laws, and any other policies or guidelines provided by us as relevant, such as:

4.2. Prohibited Activities: You agree not to engage in any activity that interferes with or disrupts the Services or violates the rights of others. 

Intellectual Property
5.1. Ownership: All content, materials, and intellectual property associated with the Services are owned by the Company or its licensors and are protected by intellectual property laws.
5.2. License: Subject to your compliance with this Agreement, we grant you a limited, non-exclusive, non-transferable license to use the Services for your personal or internal business purposes.

Termination
6.1. Termination by Company: We reserve the right to suspend or terminate your access to the Services at any time, with or without cause, and without prior notice.
6.2. Termination by User: You may cancel your subscription at any time. Upon cancellation, you will no longer have access to the Services you were subscribed to, and any remaining fees may be non-refundable.

Disclaimer of Service Availability
7.1. AS-IS Basis: The Services are provided on an "as-is" and "as-available" basis and may be withdrawn at any time. 

Limitation of Liability
8.1. Exclusion of Damages: In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, arising from your use of the Services or any content or materials accessed or downloaded through the Services.
8.2. External Links: Our Services may contain links to third-party websites, publications, or resources. These links are provided solely for your convenience and do not imply endorsement or responsibility for the content, products, or services offered by these third parties. We are not responsible for examining or evaluating the content or accuracy of such external links, and we disclaim any liability for any loss or damage arising from your use of or reliance on such external content. 

Governing Law
9.1. Jurisdiction: This Agreement shall be governed by and construed in accordance with the laws of England, without regard to its conflicts of law principles.

Modifications
10.1. Changes to Agreement: We reserve the right to modify or update this Agreement at any time, in our sole discretion. We will notify you of any material changes to this Agreement by posting the revised version on our website or by other means.
